01 — Acceptance

Agreement to Terms

By downloading, installing, or using Tracly (“the App”), you agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legal agreement between you and Saif Tech LLC (“we”, “us”, “our”).

If you do not agree to these Terms, do not download or use the App.

02 — Description of Service

What Tracly Is

Tracly is a household inventory management application for iOS. It is offered as a free download with optional paid subscription tiers. The App allows you to track items you own, loans you have made, hardware maintenance schedules, and to organize physical spaces using QR codes.

Tracly is designed to work entirely offline. Cloud features are available only on the Household subscription plan.

03 — Accounts

Your Account

To use Tracly, you must sign in with a valid email address. We use email OTP (one-time passcode) authentication — no password is created or stored. You are responsible for keeping your email account secure, as it controls access to your Tracly account.

• You must provide a valid, current email address. False or disposable email addresses may result in account termination.
• You are solely responsible for all activity that occurs under your account.
• You must not share your account credentials or allow others to access your account.
• You must notify us immediately if you suspect unauthorized access to your account.

04 — Subscriptions and Billing

Plans and Payments

Tracly offers three tiers: a free tier and two paid subscriptions (Pro and Household). All paid subscriptions are managed through the Apple App Store.

• Free tier. Available without a subscription. Subject to feature limits: up to 25 items, 3 active loans, and 3 hardware entries. Local data only — no cloud sync.
• Pro — $2.99/month. Unlimited items, loans, and hardware entries. All local features including Box-Link and iCloud backup. No cloud sync. Solo plan only.
• Household — $4.99/month. Everything in Pro, plus cloud sync across all the subscriber’s devices and family sharing for up to 5 members (including the owner).
• Auto-renewal. Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date through your Apple ID account settings.
• Refunds and cancellations. Subscription management, cancellations, and refund requests are handled entirely by Apple. We have no ability to process refunds or override Apple’s refund decisions.
• Price changes. We reserve the right to change subscription prices. We will provide reasonable notice of any price changes through the App or by email.

05 — Household Plan

Family Sharing Terms

The Household plan allows one account owner to create a household and invite up to 4 additional members, for a maximum of 5 members total. The following terms apply:

• The household owner’s subscription covers cloud sync access for all members. Members do not need their own paid subscription to sync data within the household.
• If the owner’s Household subscription lapses or is cancelled, all shared items will become inaccessible to household members. The members’ own local data is unaffected.
• Only items, loans, and hardware entries explicitly marked as “shared” by the owner are visible to household members. Private items remain private.
• The owner may remove members at any time. Removal takes effect immediately and revokes the member’s access to shared items on next sync.

06 — Acceptable Use

Permitted and Prohibited Use

Tracly is intended for lawful personal and household inventory management. You agree not to:

• Use the App to store, transmit, or organize illegal content.
• Attempt to access, probe, or interfere with another user’s data, accounts, or devices.
• Reverse-engineer, decompile, or disassemble any portion of the App.
• Circumvent, disable, or otherwise interfere with subscription enforcement or feature gating mechanisms.
• Use the App in any way that could damage, disable, or impair our servers or network infrastructure.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

07 — Intellectual Property

Ownership

All content, design, code, trademarks, logos, and other intellectual property in Tracly — including the Tracly name and app icon — are owned by or licensed to Saif Tech LLC. Nothing in these Terms grants you ownership of any Saif Tech LLC intellectual property.

You retain ownership of any data you enter into the App (your items, loans, hardware entries, etc.). By using cloud features, you grant us a limited licence to store and process your data solely for the purpose of providing the service to you.

08 — Disclaimer of Warranties

No Warranties

Tracly is provided “as is” and “as available” without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any errors will be corrected or that the results obtained from use of the App will be accurate or reliable.

09 — Limitation of Liability

Limits on Our Liability

To the maximum extent permitted by applicable law, Saif Tech LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of Tracly.

In no event shall Saif Tech LLC’s total liability to you for all claims arising out of or related to these Terms or your use of Tracly exceed the greater of: (a) the total amount you paid for Tracly subscriptions in the twelve (12) months preceding the claim, or (b) ten dollars (USD $10).

10 — Governing Law

Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the United States.

12 — Changes

Updates to These Terms

We may update these Terms of Service from time to time. When we do, we will update the effective date at the top of this document and, for material changes, notify you within the App or by email.

Continued use of Tracly after updated Terms are posted constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App.
